Acceptance of Terms
These Terms of Use govern your access to and use of the website www.getzytrion.com and all related services, assessments, tools, products, and content provided by Norrils Signature Consulting Inc., doing business as Zytrion Infrastructure Group (referred to throughout these terms as "Zytrion," "we," "us," or "our"). By accessing our website or using any of our services, you agree to be bound by these Terms of Use. If you do not agree to these terms, do not access or use our services.
Description of Services
Zytrion provides governance readiness assessment tools, educational materials, implementation resources, advisory services, and certification programs for business owners and enterprises. Our services include but are not limited to the Zytrion Assessment, the QuickScan, Score Interpretation Guides, Implementation Kits, Roadmap Sequences, the Governance Stabilization Sprint, the Certified Governance Advisor program, and related educational and operational content.
Eligibility
You must be at least 18 years of age and have the legal authority to enter into binding agreements to use our services. By using our services, you represent that you meet these requirements.
Account and Access
Certain services require you to provide accurate and complete information, including your name, email address, and business details. You are responsible for maintaining the confidentiality of any account credentials, assessment links, or access tokens provided to you. You agree to notify us immediately of any unauthorized use of your account or access credentials.
Purchases and Payments
All purchases are processed through Stripe. By making a purchase, you agree to provide accurate payment information and authorize the charge for the selected product or service. Prices for products and services are listed on our website and in our communications. We reserve the right to change pricing at any time, but changes will not affect purchases already completed.
All sales are final. Due to the digital nature of our products and the immediate delivery of assessment results, implementation kits, and related materials, we do not offer refunds unless required by applicable law. If you believe you have been charged in error, contact us at [email protected] within 14 days of the transaction.
Intellectual Property
All content, materials, methodologies, assessments, frameworks, tools, documents, and branding associated with Zytrion Infrastructure Group are the exclusive intellectual property of Norrils Signature Consulting Inc. This includes but is not limited to the Zytrion Assessment, the Three Flows methodology, the Five Pillars framework, the D.E.D. Method, the Zytrion Standard, the Governance Stabilization Sprint, Implementation Kits, Roadmap Sequences, the Certified Governance Advisor program, and all associated trademarks, trade names, logos, and content.
You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any of our intellectual property without our prior written consent. Purchased materials are licensed for your personal or internal business use only and may not be shared, resold, or redistributed.
Assessment Results and Advisory Disclaimer
The Zytrion Assessment and related scoring tools are educational and diagnostic instruments designed to evaluate governance readiness based on self-reported information. Assessment results, tier placements, pillar analyses, and recommendations are provided for informational and educational purposes only.
Zytrion does not provide legal, financial, tax, or investment advice. Our assessments and recommendations are not a substitute for professional legal counsel, certified public accounting, licensed financial advising, or other professional services. You are responsible for seeking appropriate professional guidance before making business, legal, or financial decisions based on your assessment results.
We make no guarantees regarding the outcomes of implementing our recommendations, achieving specific tier placements, securing funding, passing due diligence reviews, or achieving any particular business result.
Certified Governance Advisor Program
Participation in the Certified Governance Advisor program is subject to completion of the required curriculum, passing the certification examination, and adherence to the Zytrion Code of Conduct. Certification is valid for 12 months and must be renewed through the annual retake process. Zytrion reserves the right to suspend or revoke certification for violations of the Code of Conduct, misrepresentation of credentials, or conduct that damages the integrity of the program.
Referring Partner Program
Participation in the Referring Partner program is governed by the Referring Partner Onboarding Pack and associated agreements. Referral fees are paid at the rate and under the conditions specified in your partner agreement. Zytrion reserves the right to modify the referral program terms, suspend partner accounts for inactivity, or terminate partnerships for cause.
Prohibited Conduct
You agree not to use our services for any unlawful purpose or in violation of these terms. You may not misrepresent your identity, business structure, or assessment responses. You may not attempt to reverse-engineer, decompile, or extract the scoring methodology, assessment logic, or proprietary algorithms used in our tools. You may not share, resell, or redistribute purchased materials, assessment links, or access credentials. You may not use our intellectual property to create competing products or services. You may not engage in any conduct that interferes with or disrupts our services, platforms, or operations.
Limitation of Liability
To the maximum extent permitted by applicable law, Zytrion, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including but not limited to loss of profits, loss of data, business interruption, or any other commercial damages or losses, regardless of the theory of liability.
Our total liability to you for any claim arising out of or related to these terms or our services shall not exceed the amount you paid to us in the 12 months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Norrils Signature Consulting Inc., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of our services, your violation of these terms, or your violation of any rights of a third party.
Governing Law
These Terms of Use are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles. Any disputes arising under or in connection with these terms shall be resolved in the state or federal courts located in the State of Georgia.
Modifications
We reserve the right to modify these Terms of Use at any time. Changes will be effective upon posting to our website with an updated effective date. Your continued use of our services after any changes constitutes your acceptance of the revised terms.
Severability
If any provision of these Terms of Use is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
